EULA — End-user licence agreement

This English version is a translation provided for your convenience. In case of any discrepancy between the Dutch and English text, the Dutch EULA prevails.

This end-user licence agreement (EULA) governs the Customer's right to install and use the TimeToBill desktop software (the Software). The EULA forms an inseparable part of the Terms and Conditions. In case of conflict regarding the Software, the EULA takes precedence.

1. Definitions

• TimeToBill: STB Services, a sole proprietorship of Sebastiaan ten Broek, Parallelweg 30, 5223 AL 's-Hertogenbosch, Chamber of Commerce (KvK) 30226252.
• Customer: the business customer that holds a TimeToBill subscription.
• Software: the TimeToBill desktop application, including updates and documentation.
• Machine: a unique physical or virtual computer on which the Software has been activated, identified by a fingerprint generated by the Software.
• Subscription: a monthly or annual subscription as described in the Terms and Conditions.

2. Licence

TimeToBill grants the Customer a non-exclusive, non-transferable right to install and use the Software within the Customer's own business, for as long as the Subscription is in effect and the relevant fees have been paid.

The Customer may use the Software only for the purpose for which it is intended: retrieving time registrations from external services and creating invoices in an external bookkeeping service, using the Customer's own API keys.

When the Customer enables the optional Remote Tagging feature, the Software may use those same customer-owned API keys to add a Customer-configured tag to billed time entries in Clockify or Toggl Track. This feature is intended to mark at the source which hours have already been invoiced and can be disabled in the settings.

3. Machine limit

The Software validates the Subscription through TimeToBill's internal licensing system. Per Subscription, the Software may be active on a maximum of 2 Machines concurrently. The Customer may deactivate a Machine via the customer portal; the freed slot becomes immediately available again.

Circumventing the Machine limit (for example by forging fingerprints) is expressly prohibited.

4. Online validation and offline grace period

The Software validates the Subscription periodically via an online connection. Between validations, the Software may function offline in read-only mode for up to 7 consecutive calendar days (the offline grace period).

If no successful online validation occurs within those 7 days (for example because the Machine remains offline), the Software remains in read-only mode: existing data remains visible, but creating invoices and other actions that require a valid validation are temporarily blocked. Full functionality resumes automatically after the next successful online validation.

5. End of Subscription: read-only mode

On termination of the Subscription (whether by the Customer's cancellation or by termination by TimeToBill), the Software automatically switches to read-only mode. All locally stored data in the Customer's .ttb file remains accessible to the Customer; creating new invoices or making changes is no longer possible.

It is the Customer's own responsibility to export or archive relevant data before the end of the Subscription.

6. Prohibited acts

The Customer may not:

1. resell, rent, lend or supply the Software to third parties, in whole or in part, under another brand name;
2. remove or render illegible any copyright, trademark or other proprietary notices in the Software or the documentation;
3. circumvent the Machine limit or licence validation;
4. use the Software in violation of applicable law or of the terms of use of the connected external services.

7. Decompilation and reverse engineering

Decompilation, disassembly or reverse engineering of the Software is not permitted, with one exception: to the extent mandatorily permitted by law under the Dutch Copyright Act (*Auteurswet*, article 45m and following) to achieve interoperability with other software of the Customer, and only after the Customer has requested the necessary interoperability information from TimeToBill in writing and TimeToBill has failed to provide it within a reasonable period.

This right cannot be excluded by contract under mandatory Dutch law.

8. Updates and support

TimeToBill makes updates to the Software available through the automatic update feature in the Software or through the customer portal. It is the Customer's responsibility to update in a timely manner; TimeToBill supports the current and one previous major version of the Software.

Support is provided in accordance with the Terms and Conditions and via hello@timetobill.nl.

9. Intellectual property

All intellectual property rights in the Software and the documentation belong to STB Services or its licensors. The Customer acquires only the right of use described in this EULA. Nothing in this EULA transfers ownership, source-code rights or trademark rights.

10. Open-source components

The Software contains open-source components distributed under their own licence terms. An overview of these components and their licences is available on request at hello@timetobill.nl and is additionally displayed inside the Software under "About TimeToBill". Nothing in this EULA limits the rights the Customer has under those open-source licences.

11. Liability

The liability regime in article 10 of the Terms and Conditions applies to this EULA. The Software is provided "as is" to the extent permitted by law; TimeToBill does not warrant that the Software is error-free or meets the Customer's specific expectations.

12. End of licence

The licence ends automatically on termination of the Subscription or on a serious breach by the Customer under the Terms and Conditions. After end of licence the Software continues to operate in read-only mode as described in article 5; the Customer is obliged not to reactivate the full-functionality mode without a valid Subscription.

13. Changes

Changes to this EULA follow semantic versioning (PATCH / MINOR / MAJOR). Material changes will be announced at least 30 days in advance by email and by publication on this page. If the Customer does not agree with a material change, the Customer may cancel the Subscription at no cost as of the effective date of the change.

Older versions remain permanently retrievable at /legal/eula/<version>.

14. Governing law and forum

This EULA is governed by Dutch law. Disputes are exclusively submitted to the Rechtbank Oost-Brabant (District Court of East Brabant), sitting in 's-Hertogenbosch, unless mandatory law provides otherwise.
